Terms of Service

These Terms of Service ("Terms") govern your use of SmartEcomETL ("the Service"), operated by ZF Ventures LLC ("we," "us," "our"), a Delaware limited liability company. By creating an account or using the Service, you agree to these Terms.

1. The Service

SmartEcomETL is a data integration platform for ecommerce businesses. The Service allows you to connect third-party platforms (such as Shopify, Amazon, Google, Meta, and others), sync data to a private warehouse, analyze your data using AI, and build dashboards and reports.

2. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

You represent that the information you provide is accurate and that you have the authority to connect the third-party accounts you authorize through the Service.

3. Your Data

You retain all ownership rights to your data. By using the Service, you grant us a limited license to access, store, process, and display your data solely for the purpose of providing the Service to you.

Each account receives a private, isolated data schema. We do not access your data for any purpose other than providing and maintaining the Service, unless you explicitly direct us to (for example, when using the AI analysis feature).

4. Third-Party Platforms

The Service integrates with third-party platforms through their APIs. When you connect a platform, you authorize us to access data from that platform on your behalf in accordance with that platform's terms of service. You are responsible for:

  • Having the necessary permissions to share data from each connected platform
  • Complying with each platform's terms of service and acceptable use policies
  • Ensuring that your use of the synced data complies with applicable laws and regulations

We are not responsible for changes to third-party APIs, rate limits imposed by third-party platforms, or data accuracy issues originating from those platforms.

5. AI Features

The Service includes AI-powered analysis features using Anthropic's Claude. When you use these features, relevant portions of your data are sent to Anthropic's API to generate responses. AI-generated insights are provided for informational purposes and should not be treated as professional financial, legal, or business advice. You are responsible for validating AI-generated insights before making business decisions based on them.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law or the terms of any connected platform
  • Attempt to access another user's data or account
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to store or process data that you do not have the right to use
  • Interfere with or disrupt the Service or its infrastructure
  • Resell or redistribute the Service without our written consent

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

8. Payment Terms

Pricing, billing cycles, and payment terms are presented to you at the time of subscription. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.

9. Termination

You may cancel your account at any time through the dashboard or by contacting us. Upon cancellation:

  • Active syncs will be stopped
  • Your data will be retained for 30 days to allow for export, then permanently deleted
  • Connected platform authorizations will be revoked

We may suspend or terminate your account if you violate these Terms, with notice where practicable.

10. Limitation of Liability

To the maximum extent permitted by law, ZF Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that the data synced from third-party platforms will be complete or accurate.

12. Indemnification

You agree to indemnify and hold harmless ZF Ventures LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
